Club Organizer Terms
Kyde Inc
Last updated: September 24, 2026
These Club Organizer Terms (the "Organizer Terms") apply to anyone who creates or administers a run club or other group (a "Club") on the Kyde Service (an "Organizer"). They add to the Kyde Terms & Conditions (the "Terms"), which continue to apply to you as a user. Words defined in the Terms mean the same thing here. If these Organizer Terms and the Terms conflict, these Organizer Terms govern your role as an Organizer.
You accept these Organizer Terms in the App: the first time you open your Club as an owner, whenever we publish a new version, and each time you upload or replace a Club Waiver. Every owner of a Club accepts them, not only the owner who uploads a waiver. Kyde records which version each owner accepted and when.
1. You Operate Your Club Independently
Your Club is yours. Kyde provides software that lets a Club keep a presence on the Service, and nothing more. Kyde is not the organizer, host, sponsor, partner, employer, or agent of your Club or of any activity it runs, and you are not an employee, agent, partner, or representative of Kyde. You may not say or imply otherwise, including in a Club's name, description, waiver, or promotional material.
2. You Are Responsible for Your Club's Activities
You are solely responsible for everything your Club does, on and off the Service, including: choosing routes, meeting spots, times, and conditions; the safety and supervision of Club activities; first aid and emergency arrangements; any permits, permissions, insurance, or local rules an activity requires; the conduct of the Club's members and volunteers at Club activities; and any money the Club collects. Kyde does not vet Organizers or Clubs and does not supervise, inspect, or approve any Club activity.
3. Club Members Are Adults
Membership of a Club on the Service is limited to people who are eighteen (18) or older. You will not admit anyone you know or reasonably should know to be under 18 to your Club through the Service, and you will remove any member you learn is under 18. Kyde asks for a date of birth at account creation and may use it to limit who can join or create a Club, but that does not replace your undertaking here.
4. Club Waivers
a) What Kyde does, and does not do
A Club may upload its own waiver, release, or similar document (a "Club Waiver") as a PDF. Kyde displays the document to the Club's members exactly as uploaded, records each member's electronic signature, emails the member a copy of the document, and keeps the record described below. The member's electronic signature is the member ticking the agreement statement shown with the document in the App and confirming; no drawn or typed signature is taken. Kyde does not draft, review, approve, verify, interpret, or enforce any Club Waiver, makes no representation about its content, validity, or enforceability, and is not a party to it. Kyde provides no template and no legal advice. Whether a Club Waiver is suitable or enforceable for your Club is for you and your own legal adviser to decide.
b) What you confirm at every upload
Each time you upload or replace a Club Waiver, you confirm to Kyde that:
- the document is your Club's own, you have the right to use it, and you may require it of the Club's members;
- Kyde did not create, review, or approve it and is not a party to it, and the document does not say or imply otherwise;
- the document collects no medical, health, or other sensitive personal information through the Service — it asks the member to read and agree, and nothing is filled in;
- your Club admits no one under 18 through the Service;
- the document does not violate any law or any third party's rights.
c) How a Club Waiver works on the Service
- Once a Club Waiver is uploaded, every member must sign the current version before using the Club's features on the Service. Joining a Club is never blocked, and a member's own workouts are never blocked, whether or not they have signed.
- Replacing the document creates a new version, and every member is asked to sign the new version. Earlier versions are not deleted.
- Owners of the Club can see which members have signed the current version and when.
- A member signs by reading the document to its end, ticking an agreement statement, and confirming; that tick is the member's electronic signature. Kyde does not produce a signed copy of the document; the member receives a copy of the document as uploaded, and Kyde keeps the record of the signature.
d) What Kyde keeps, and for how long
For each signature, Kyde keeps a record of the member, the Club, the version of the document and a fingerprint that identifies the file exactly, the name and nickname on the member's account at the moment of signing, the agreement and consent statements the member saw, and the time. Kyde keeps every version of your Club Waiver and every signing record for as long as your Club exists on the Service and for three years after the Club is deleted. Nobody — you included — can delete a version or a signing record. A signing record stays when a member leaves or is removed from the Club; if a member deletes their Kyde account, their names are removed from the record and the rest of it is kept, so the Club retains its proof that this account agreed. When a Club is deleted, its content and its memberships are deleted with it; its Club Waiver versions and signing records are kept for three years from the deletion, so that deleting a Club cannot destroy them while a claim could still be brought, and are then deleted.
The signing record and the copies of the document are kept on the Club's behalf. You are responsible for any use you make of them and for keeping your own copies of anything you need beyond that period.
5. Club Content
Anything you upload or post for your Club — its name, logo, description, announcements, routes, events, polls, FAQ, and Club Waivers — is User Content under the Terms. You confirm that you have the right to post it and that it does not infringe any third-party right or violate any law. Kyde does not pre-screen Club content and may remove any of it, or the Club, at any time.
6. Promotional Programs
Kyde may offer promotional programs to Clubs — competitions, awards, recognition, or prizes. Each is a promotional program run at Kyde's discretion; none makes Kyde a sponsor, organizer, host, partner, or agent of your Club.
- The terms of a program — what it offers, who qualifies, and when and how anything is paid — are the ones Kyde states in the App or in a written notice to you at the time. Kyde may change or end any program on notice; amounts already earned under the stated terms are paid.
- Revenue share. Kyde may offer some Clubs a share of the subscription revenue it receives from their members. Any such arrangement is made under a separate written agreement between Kyde and the Club, which states who qualifies, the rate, what it is calculated on, and when and how it is paid. Nothing in these Organizer Terms entitles a Club to a revenue share.
- Payment is made to the Club through the Organizer Kyde has on record for it. How a payment is used or shared within the Club is between you and your Club.
- Taxes on anything you receive from Kyde are your responsibility. Kyde may ask for tax information before paying, and may withhold where the law requires.
- No payment is due for anything obtained by fraud or misrepresentation or in violation of the Terms or these Organizer Terms, and Kyde may recover or offset any such amount.
- Not employment. A payment under a program does not make you an employee or contractor of Kyde and creates no obligation on Kyde beyond the program's stated terms.
7. Insurance
Kyde carries no insurance for your Club, its activities, its members, or you. Whether your Club needs insurance, and what kind, is for you to decide and to obtain.
8. Indemnity
In addition to the indemnity in the Terms, you agree to defend, indemnify, and hold harmless Kyde and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorneys' fees) arising out of: the operation and activities of your Club; any injury, loss, or damage suffered by a member, volunteer, or third party in connection with a Club activity; any Club Waiver you upload, including any claim about its content, validity, or enforceability; any Club content; any breach of these Organizer Terms; and any payment or program dispute within your Club.
9. Ending a Club, and Ending Your Role
You may step down as an Organizer at any time by leaving the Club in the App; a Club must always have at least one owner, so the last owner deletes the Club instead. Deleting a Club removes it from the Service together with its content; its Club Waiver versions and signing records are kept for three years after the deletion, as Section 4(d) says. Kyde also keeps a short record that the Club existed: when it was created and deleted, how many members it had, who deleted it, any reason chosen from a list when deleting, and anything you choose to write there. The Club's name stays on that record only as long as its Club Waiver records are kept. No content or memberships are kept, and none of it is shown in the App. Kyde may suspend or remove a Club or an Organizer at any time for a breach of the Terms or these Organizer Terms, for conduct that puts members at risk, or where the law requires. Sections 2, 4(d), 6 (as to amounts already earned or owed), 7, 8, and this Section 9 survive the end of your role or of the Club.
10. Changes to These Organizer Terms
Kyde may update these Organizer Terms. When it does, the new version is published here and every Organizer is asked to accept it in the App the next time they open their Club as an owner. Until an owner has accepted the current version, that owner cannot upload or replace a Club Waiver; everything else about the Club continues to work.
