1. Who We Are

Kyde Inc, a Delaware corporation ("Kyde," "we," "our," "us"), develops and operates the Site and the Apps (together, the "Service").

2. Description of the Service (Stealth / Pre-Release)

Kyde provides an AI-enabled digital coaching platform for running and related fitness activities. The Service delivers real-time workout guidance based on user-supplied or wearable-streamed data and may integrate with selected third-party services (e.g., music or mapping providers). Kyde is software-only; we do not supply hardware or in-person coaching.

Pre-Release Notice. Kyde is currently in pre-release testing; features are experimental and may change, be added, or withdrawn without notice.

3. Eligibility & Account Security

• Age 18+. You must be at least eighteen (18) years old (or the age of majority in your jurisdiction) to create an account.
• Accurate information. You agree to provide true, current, and complete information and to keep it updated.
• Your responsibility. You are responsible for all activity that occurs under your credentials. Notify us immediately of any unauthorized use.

4. Not Medical Advice

The Service provides informational and motivational content only. Kyde is not a medical device, health-care provider, or certified coach. Always consult a physician before beginning any new exercise program. You assume all risk associated with athletic activities.

5. Subscriptions, Trials & Billing

• Kyde may offer free trials, subscription plans, or one-time purchases through the Apple App Store or Google Play.
• Auto-renew. Unless you cancel at least 24 hours before the end of the current period, your subscription renews automatically at the then-current price.
• No refunds on partial periods, except as required by law.
• Manage or cancel through the storefront where you purchased.

6. Acceptable Use

You agree not to:

• reverse-engineer, decompile, or scrape the Service;
• interfere with security or access limits;
• use the Service to diagnose or treat medical conditions;
• upload malware or infringe intellectual-property rights;
• use the Service for commercial purposes without our written consent.

We may suspend or terminate your access for violations.

7. Intellectual Property

All software, text, graphics, logos, and other materials within the Service are owned by Kyde or its licensors and are protected by U.S. and international laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

8. Third-Party Services

The Apps may interface with third-party APIs (e.g., wearable vendors, music platforms, mapping providers). Kyde is not responsible for third-party content or outages. Your use of third-party services is governed by their respective terms.

9. Privacy

Our collection and use of personal data are described in the Kyde Privacy Policy (linked in the footer of the Site and in-App). By using the Service, you consent to those practices.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Kyde disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Kyde does not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, Kyde (including its officers, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of (or inability to use) the Service, even if Kyde has been advised of the possibility of such damages. Kyde's total cumulative liability shall not exceed US $100 or the amount you paid us in the twelve (12) months prior to the event giving rise to the claim, whichever is greater.

12. Indemnity

You agree to defend, indemnify, and hold harmless Kyde from any claims, damages, or expenses (including attorneys' fees) arising out of your: (a) use of the Service; (b) violation of these Terms; or (c) infringement of any third-party right.

13. Suspension / Termination

Kyde may suspend or terminate your access at any time for breach of these Terms or if required by law. Upon termination, Sections 4, 7, 10, 11, 12, 15, and 16 survive.

14. Modifications to the Terms

We may update these Terms periodically. When we do, we will change the "Last updated" date. Continued use after a revision constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Any dispute shall be resolved by binding arbitration in Los Angeles County, CA under the rules of the American Arbitration Association. Each party waives the right to a class action or jury trial.

16. Miscellaneous

• Entire Agreement. These Terms (plus any additional policies linked herein) constitute the entire agreement between you and Kyde.
• Severability. If any provision is held unenforceable, the remainder remains in effect.
• Assignment. Kyde may assign its rights and obligations; you may not without our consent.
• Force Majeure. Kyde is not liable for delays beyond its reasonable control.
